BizStructure provides a free, interactive quiz tool that generates personalized business entity recommendations (LLC, S-Corp, C-Corp, Sole Proprietorship) based on user-provided inputs such as revenue, state of formation, and number of owners. The Site also provides educational blog content related to business formation, tax planning, and entity selection.

The information on this Site is for educational and informational purposes only. BizStructure does not provide legal, tax, financial, or accounting advice. The quiz results, tax calculations, cost comparisons, and recommendations are simplified estimates based on publicly available data, 2026 IRS brackets, and general assumptions.

Your actual tax liability, formation costs, and compliance requirements may differ significantly based on deductions, credits, other income, local regulations, and factors not captured by our tool. THIS INCLUDES, WITHOUT LIMITATION, ANY DAMAGES ARISING FROM: (A) RELIANCE ON QUIZ RESULTS, TAX CALCULATIONS, OR ENTITY RECOMMENDATIONS; (B) DECISIONS MADE BASED ON CONTENT ON THE SITE; (C) USE OF THIRD-PARTY SERVICES LINKED FROM THE SITE; OR (D) ERRORS, INACCURACIES, OR OMISSIONS IN THE SITE’S CONTENT.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS ($100.00 USD).

10. Indemnification

You agree to indemnify, defend, and hold harmless Lightweb Media LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or in connection with: (a) your use of the Site; (b) your violation of these Terms; (c) your reliance on any information obtained from the Site; or (d) any business decisions you make based on the Site’s content or recommendations.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Oakland County, Michigan.

Before filing any formal legal action, you agree to first attempt to resolve the dispute informally by contacting us. We will attempt to resolve the dispute through good-faith negotiation within thirty (30) days.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

13. Entire Agreement
